TERMS AND CONDITIONS OF SALE

Summary of Key Terms

These Terms and Conditions (“Terms”) govern all purchases of Renalyx™ products from Roy Company Ltd GH (“we”, “us”, “our”) in Ghana. By placing an order, you (“the Customer”) confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please do not proceed with your purchase.

About Us

Roy Company Ltd GH is the sole authorised distributor of Renalyx™ in Ghana. Renalyx™ is a GMP-certified, UK-manufactured premium food supplement produced by Supplement Factory UK for Roy Company Ltd, and is distributed in Ghana exclusively by Roy Company Ltd GH.

We operate through authorised channels including our official website, WhatsApp Business, telephone order lines, and approved retail partners. Purchases made through any other channel are not covered by these Terms or our associated policies.

Roy Company Ltd GH is registered and operating in accordance with the laws of the Republic of Ghana.

Acceptance of Terms

By placing an order for Renalyx™ products from Roy Company Ltd GH, whether by phone, WhatsApp, online, or through an authorized agent or retail partner, you confirm that:

You are at least 18 years of age

You have read and accepted these Terms and Conditions

You have read and accept our Privacy Policy and Goods Return & Delivery Policy

The information you have provided in connection with your order is accurate and complete

You are purchasing the product for personal use or for resale only through channels authorized by Roy Company Ltd GH

These Terms, together with our Privacy Policy and Goods Return & Delivery Policy, constitute the entire agreement between you and Roy Company Ltd GH in relation to your purchase.

Product Information

3.1 Product Description

Renalyx™ is a food supplement formulated to support kidney health, fluid balance, and renal vitality. Each bottle contains 60 vegetable capsules with a serving size of 2 capsules daily. Full supplement facts, ingredients, and directions are stated on the product label and verified at renalyx.co.uk.

3.2  Food Supplement Disclaimer

Renalyx™ is a food supplement, not a medicinal product. It is not intended to diagnose, treat, cure, or prevent any disease or medical condition. Food supplements should not be used as a substitute for a varied and balanced diet and a healthy lifestyle.

Roy Company Ltd GH makes no medical claims in relation to Renalyx™. Any health information provided on our channels is for general educational purposes only and does not constitute medical advice.

3.3  Healthcare Consultation

Customers are strongly advised to consult a qualified healthcare practitioner before using Renalyx™, particularly if they are:

Pregnant or nursing

Taking prescription medication

Managing a diagnosed medical condition, including any form of kidney or renal disease

Under the care of a specialist for metabolic or endocrine conditions

Roy Company Ltd GH is not liable for any adverse outcomes arising from use of Renalyx™ without prior healthcare consultation where such consultation was warranted.

3.4  Age Restriction

Renalyx™ is not suitable for children under the age of 18. We will not knowingly process orders for or on behalf of individuals under 18.

3.5  Product Authenticity

Every Renalyx™ bottle features a unique batch number and QR code. Customers are encouraged to scan the QR code at renalyx.co.uk upon receipt to verify authenticity. Suspected counterfeit products should be reported to us immediately at legal@roycompanygh.com and should not be consumed.

Placing an Order

4.1  Order Process

An order is not confirmed until you receive a written or electronic order confirmation from Roy Company Ltd GH, including an order reference number and expected delivery window.

4.2  Order Accuracy

It is the Customer’s responsibility to ensure that all order details, including product quantity, delivery address, and contact number, are accurate at the time of placing the order. Roy Company Ltd GH will not be liable for delivery failure or delays resulting from incorrect information provided by the Customer.

4.3  Right to Refuse Orders

Roy Company Ltd GH reserves the right to refuse or cancel any order at its sole discretion, including where:

The product is temporarily out of stock

There is a suspected fraudulent or abusive order pattern

The order cannot be verified or the delivery address is unserviceable

Payment is not received or is disputed

In such cases, any payment received will be refunded in full within 5 business days.

Pricing & Payment

5.1  Pricing

All prices are quoted in Ghana Cedi (GHS) and are inclusive of any applicable taxes unless otherwise stated. Prices are subject to change without prior notice. The price applicable to your order is the price confirmed at the time your order is accepted.

Promotional prices, discount codes, and bundle offers are valid only for the specified period and cannot be applied retrospectively.

5.2  Payment Methods

Roy Company Ltd GH accepts the following payment methods in Ghana:

MTN Mobile Money

AirtelTigo Money

Vodafone Cash

Cash on Delivery (selected areas within Greater Accra only)

Payment must be received and confirmed before dispatch, except in approved Cash on Delivery arrangements. Roy Company Ltd GH does not accept cheques or bank transfers for retail orders unless agreed in writing for wholesale arrangements.

5.3  Payment Security

Roy Company Ltd GH does not store Mobile Money PIN numbers, passwords, or sensitive payment credentials. All Mobile Money transactions are processed through the respective network platforms. Customers are advised never to share their Mobile Money PIN with anyone, including our agents.

5.4  Receipts

A payment confirmation and receipt will be issued to you via SMS, WhatsApp, or email following successful payment. Please retain this for your records and for any future return or warranty queries.

Delivery

6.1  Delivery Areas

Roy Company Ltd GH delivers Renalyx™ products across Ghana. Standard delivery timelines are as follows:

6.2  Delivery Charges

Delivery charges, if applicable, will be communicated to the Customer at the point of order confirmation. Free delivery promotions are subject to minimum order values and geographic restrictions as advertised at the time.

6.3  Delivery Responsibility

Risk of loss or damage to the product passes to the Customer upon delivery to the confirmed address. Roy Company Ltd GH is responsible for ensuring the product is dispatched in satisfactory condition. Please inspect your order upon receipt and report any damage or discrepancy within 48 hours in accordance with our Goods Return & Delivery Policy.

6.4  Failed Deliveries

If delivery is attempted and the Customer is unavailable, our delivery agent will contact the Customer to arrange an alternative delivery time. After two failed attempts, the order may be returned to us and a re-delivery fee may apply. If the order is cancelled due to repeated failed delivery, a restocking or handling fee may be deducted from any refund issued.

6.5  Force Majeure

Roy Company Ltd GH will not be liable for delivery delays caused by circumstances beyond our reasonable control, including but not limited to natural disasters, civil unrest, road closures, national emergencies, or failure of third-party courier services. We will notify affected customers and work to fulfil delayed orders as soon as practicable.

Returns, Exchanges & Refunds

Returns, exchanges, and refunds are governed by our separate Goods Return & Delivery Policy, which forms part of these Terms and is incorporated herein by reference. Key provisions are summarised below:

Returns are accepted only where the conditions set out in the Goods Return & Delivery Policy are met. Change of mind after delivery is not an accepted ground for return. All returns require a Return Authorization Number (RAN) issued by Roy Company Ltd GH before the product is sent back.

Wholesale & Resale Arrangements

8.1  Authorized Resellers

Individuals or entities wishing to resell Renalyx™ products in Ghana must enter into a written Authorized Reseller Agreement with Roy Company Ltd GH. Resale of Renalyx™ without authorization is strictly prohibited and may constitute a breach of trademark and distribution rights.

8.2  Wholesale Pricing

Wholesale pricing and minimum order quantities are available upon application to legal@roycompanygh.com. Wholesale terms are subject to a separate written agreement and are not governed by these retail Terms and Conditions.

8.3  Prohibition on Unauthorized Channels

Authorized resellers may not list or sell Renalyx™ products on third-party e-commerce platforms (including international marketplaces) without the prior written consent of Roy Company Ltd GH. Violation of this provision may result in immediate termination of reseller status and legal action.

Intellectual Property

The Renalyx™ name, logo, product design, label artwork, taglines, and all associated brand materials are the intellectual property of Roy Company Ltd GH and/or Roy Company Ltd (UK). All rights are reserved.

Customers and resellers may not reproduce, copy, modify, distribute, or commercially exploit any Renalyx™ brand assets without prior written permission from Roy Company Ltd GH.

Testimonials, product images, or content shared by customers on social media may be used by Roy Company Ltd GH for promotional purposes, subject to appropriate credit being given, unless the Customer expressly requests otherwise.

Limitation of Liability

10.1  General Limitation

To the maximum extent permitted by the laws of Ghana, Roy Company Ltd GH’s total liability to any Customer in connection with a purchase shall not exceed the amount paid by that Customer for the order giving rise to the claim.

10.2  Excluded Losses

Roy Company Ltd GH shall not be liable for any indirect, consequential, incidental, or special losses, including loss of income, loss of business, or loss of data arising from:

Use or inability to use Renalyx™ products

Reliance on product or wellness information provided on our channels

Delays in delivery caused by third-party couriers or force majeure events

Any adverse health outcome where the Customer failed to seek appropriate medical advice

10.3  Product Liability

Roy Company Ltd GH warrants that all Renalyx™ products supplied are genuine, in-date, and stored in accordance with manufacturer guidelines. Beyond this, product liability for formulation and manufacturing rests with Supplement Factory UK and Roy Company Ltd (UK) as the manufacturer and brand principal respectively.

Warranties & Representations

Roy Company Ltd GH warrants that:

All products supplied are genuine Renalyx™ products sourced directly from the UK manufacturer

All products are within their stated expiry date at the time of dispatch

Products are stored and dispatched in conditions appropriate to the manufacturer’s guidelines

Product batch numbers and QR codes are valid and verifiable at renalyx.co.uk

No other warranty, express or implied, is given by Roy Company Ltd GH beyond those stated in these Terms and applicable Ghanaian consumer protection law.

Customer Conduct

Customers are expected to engage with Roy Company Ltd GH and its representatives in a respectful and lawful manner. We reserve the right to refuse service, cancel orders, or terminate reseller agreements in the event of:

Abusive, threatening, or fraudulent behaviour towards our staff or agents

Submission of false or misleading information in connection with an order or return

Repeated abuse of our return or refund process

Any attempt to purchase products for resale in breach of these Terms

Sharing of false or defamatory statements about Renalyx™ or Roy Company Ltd GH

Privacy & Data Protection

The collection and use of your personal data in connection with your purchase is governed by our Privacy Policy, which forms part of these Terms and is available on request or through our official channels. By placing an order, you confirm that you have read and accepted our Privacy Policy.

Roy Company Ltd GH processes personal data in accordance with the Data Protection Act, 2012 (Act 843) of Ghana.

Promotions, Discounts & Loyalty Offers

From time to time, Roy Company Ltd GH may offer promotional pricing, bundle deals, referral incentives, or loyalty rewards. The following conditions apply to all such offers:

Offers are valid only for the stated period and while stocks last

Offers cannot be combined with other promotions unless explicitly stated

Roy Company Ltd GH reserves the right to withdraw or modify any promotion at any time

Referral rewards are subject to successful delivery and payment of the referred order

Misuse of promotional codes or referral schemes may result in order cancellation

Complaints & Dispute Resolution

15.1  Internal Complaints Process

If you have a complaint about your order, a product, or any aspect of our service, we encourage you to contact us in the first instance:

15.2  External Dispute Resolution

If a complaint cannot be resolved through our internal process, you may refer the matter to:

The Ghana Standards Authority (GSA) — for product quality or labelling concerns

The Food and Drugs Authority (FDA), Ghana — for food supplement regulatory matters

The Consumer Protection Agency (CPA), Ghana — for consumer rights disputes

A competent court of jurisdiction in the Republic of Ghana

Governing Law & Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Ghana. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.

Where a dispute involves the Renalyx™ brand principal (Roy Company Ltd, UK), the applicable governing law and jurisdiction shall be determined by the terms of the distribution agreement between Roy Company Ltd GH and Roy Company Ltd (UK).

Amendments to These Terms

Roy Company Ltd GH reserves the right to update or amend these Terms at any time. The version in force at the time of your order placement is the version that governs that transaction. We will endeavour to notify existing customers of material changes via WhatsApp, SMS, or email where contact information is held.

Continued use of our services following notification of changes constitutes acceptance of the revised Terms.

Severability & Waiver

If any provision of these Terms is found to be unlawful, invalid, or unenforceable under the laws of Ghana, that provision shall be deemed severed from these Terms without affecting the validity or enforceability of the remaining provisions.

Failure by Roy Company Ltd GH to enforce any provision of these Terms at any time shall not constitute a waiver of that provision or of the right to enforce it in the future.
